Terms of Service

Effective date: April 23, 2026

These terms govern your use of the Reinstall Work website (reinstall.work), consulting services, and the Mug workspace platform. By using our services, you agree to these terms.

Your consulting engagement may also be subject to a separate Retainer Agreement. In the event of any conflict between these Terms of Service and your Retainer Agreement, the Retainer Agreement governs.


Consulting services

Engagement structure

Reinstall Work offers consulting engagements as fixed-duration retainers (1 month, 3 months, or 6 months, where a month equals 4 weeks). Engagement scope, deliverables, and timeline are defined in a written proposal and/or Statement of Work ("SOW") agreed upon before work begins.

Discovery

Discovery calls and the resulting Audit + Proposal are provided at no charge. The proposal is a recommendation — detailed scoping occurs at the start of the retainer.

Payment terms

Pausing and cancellation

Post-retainer support

Each retainer includes a post-delivery support window (30, 60, or 90 days depending on retainer length) at a computed hourly rate based on your retainer package, as specified in your Retainer Agreement. Support covers enhancements, questions, and small adjustments — not new builds or new scope.


Intellectual property

What you own

You own all custom configuration, data, processes, documentation, and deliverables created specifically for your engagement. This includes everything built in your Mug workspace during the retainer.

What we own

The Mug platform — including its source code, architecture, infrastructure, and any general-purpose improvements, features, or capabilities developed during or after any client engagement — is and remains the sole property of Tyler Berggren / Reinstall Work. You receive a license to use the platform through your Mug subscription, not ownership of the platform itself.

Pre-existing IP

Any tools, frameworks, libraries, or code that existed before your engagement remains the property of its original owner. Where pre-existing IP is incorporated into your deliverables, you receive a perpetual, royalty-free, non-exclusive, non-transferable license to use it within your business operations.


Mug workspace platform

Subscription

Mug is a subscription product billed per workspace (not per user seat). Pricing and plan details are listed at reinstall.work/mug. Subscriptions are billed via Stripe, separate from consulting invoices.

Data ownership

You own your workspace data. You may export all data at any time through the platform. Upon subscription cancellation, workspace data is retained for 90 days to allow export, after which it is permanently deleted.

Service availability

We make commercially reasonable efforts to maintain Mug's availability but do not guarantee uptime. Mug runs on Cloudflare infrastructure and inherits its reliability characteristics. Planned maintenance will be communicated in advance.

Acceptable use

You agree not to use Mug to store or process content that is illegal, violates third-party rights, or could harm the platform's infrastructure or other users. We reserve the right to suspend access for violations.


Warranty disclaimer

The Mug platform and all related services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.


Indemnification

You agree to indemnify and hold harmless Tyler Berggren / Reinstall Work from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) content or data you provide or upload to the Mug platform, (b) your violation of these terms, or (c) your violation of any third-party rights.


Limitation of liability

To the maximum extent permitted by law, Reinstall Work's total liability for any claim arising from our services is limited to the fees actually paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

This limitation does not apply to liability arising from fraud, willful misconduct, or breach of confidentiality obligations.


Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This includes business processes, system access, financial data, and strategic plans. This obligation survives the end of the engagement.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party, (b) was already known to the receiving party prior to disclosure, (c) is received from a third party without restriction on disclosure, or (d) is required to be disclosed by law, regulation, or court order, provided the disclosing party is given reasonable prior notice where legally permitted.


Dispute resolution

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising from these terms or our services will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through binding arbitration administered under the rules of the American Arbitration Association.


Force majeure

Neither party is liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, internet or infrastructure outages, government actions, pandemics, or third-party service provider failures. The affected party will provide prompt notice and make commercially reasonable efforts to resume performance.


Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email to active clients and Mug subscribers at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance.
